Terms & Conditions (AGB)

1. Scope

These Terms & Conditions ("AGB") govern the contractual relationship between Lisovyi Studio – Viktor Lisovyi ("we," "us," or "our") and our clients ("you," "your"). These terms apply to all services provided by us, including but not limited to marketing consultancy, strategy development, content creation, and digital marketing support.

2. Services Provided

We offer freelance marketing services, including but not limited to:

  • Marketing strategy consulting

  • Social media management

  • Content marketing

  • Design and production 

  • Influencer marketing 

  • Advertising campaign management

  • Other related services

The specific scope of services will be agreed upon in a written contract or email confirmation between both parties.

3. Contract Formation

A contract is formed when:

  1. You request services via email or other communication channels.

  2. We confirm the request in writing (email confirmation or contract agreement).

  3. Payment terms and conditions are agreed upon, if applicable.

4. Payment Terms

  • Pricing: Prices for services are communicated individually based on the project scope.

  • Payment Methods: Bank transfer, PayPal, or other agreed methods.

  • Invoices: Issued electronically with a payment due date of 14 days, unless otherwise agreed.

  • Late Payments: In case of delayed payments, we reserve the right to charge statutory interest according to § 288 BGB (German Civil Code).

5. Cancellation & Termination

  • You may cancel a service before work begins without incurring costs.

  • If cancellation occurs after work has started, fees may apply based on work already completed.

  • We reserve the right to terminate the agreement in cases of non-payment, breach of contract, or unethical behaviour.

6. Client Responsibilities

  • You must provide all necessary materials, access, and feedback required to complete the project in a timely manner.

  • You confirm that all provided content does not infringe on third-party rights.

7. Intellectual Property

  • We retain the copyright for any materials created until full payment is received.

  • Once paid, intellectual property rights are transferred to you, unless otherwise agreed.

  • We may use completed projects in our portfolio unless confidentiality agreements prevent this.

8. Liability & Warranty

  • We provide services to the best of our abilities but do not guarantee specific marketing results.

  • We are not liable for indirect damages (e.g., lost revenue due to changes in search engine algorithms or advertising policies).

  • Liability is limited to cases of gross negligence or intent under German law.

9. Confidentiality & Data Protection

  • We treat all client information as confidential.

  • Personal data is processed according to our Privacy Policy (GDPR-compliant).

  • We will not disclose client data to third parties without consent.

10. Governing Law & Jurisdiction

  • These Terms & Conditions are governed by German law (BGB).

  • Any disputes shall be resolved in the courts of Berlin, Germany.

11. Amendments to the Terms

We reserve the right to update these Terms & Conditions as necessary. The latest version will always be available on our website.
